As a general rule, every person in England
and Wales is subject to English law, and is entitled to the
protection of the law. This statement must, however, be heavily
qualified. On the one hand, many people, for example, minors,
are protected from the full force of the law and, conversely,
do not have full legal rights and liabilities.
On the other hand, the law controls, not only human beings,
but also what are known as ‘juristic’ persons,
or corporations.
The most frequently encountered corporations are companies
registered under the Companies Acts, but there are also many
other types. Corporations are subject to the law in the same
way as are individuals, except where their very nature demands
different treatment. Although it can act only through agents,
a corporation can be found guilty of some crimes, but obviously
not crimes such as murder.
There are, however, limits to the penalties which can be imposed;
the corporation can be fined but it cannot be imprisoned,
and ‘you cannot hang the common seal’, as it used
to be said when death
was a comparatively common penalty.
